Associate Writer Analyst Tax-Corporate Actions, Riverwoods, IL
Wolters Kluwer Capital Changes (CAP), a Wolters Kluwer Financial Services business and the premier source and industry standard for corporate action reporting and tax analysis is seeking an Associate Writer Analyst-Corporate Actions to assist in the development of products written and produced on a daily basis and used by the largest financial institutions, brokerage houses and banks in updating shareholder equity accounts. CAP covers all U.S. publicly traded securities, e.g. NYSE, AMEX, NASDAQ, OTC, as well as foreign securities. Our writers focus on the tax consequences of the action to individual shareholders (summarizing company tax opinions) and perform basis calculations, as well as high level tax analysis and Commentary. This position is located in Riverwoods, Illinois.
Job Description:
Write precise explanations of corporate actions (such as mergers, spin-offs, exchange offers, etc.) of publicly held corporations, focusing on tax consequences to individual shareholders.
Analyze and summarize tax opinions provided by legal counsel or company.
Research tax issues and write Capital Changes Commentary and Capital Changes Tax Comments as guidance for clients when no tax opinion provided by company.
Analyze complex corporate filings.
Perform basis calculations and fair market value determinations.
Research and track corporate actions: daily research on internet required to find (a) press releases announcing coverable transactions and (b) legal/source documents to explain tax consequences and structure of transaction.
Provide professional, knowledgeable and courteous contact with clients (large financial institutions, banks, brokerage houses, attorneys).
Prioritize and manage large number of files.
Meet daily publication deadlines; publish transactions in timely manner.
Be an effective team member.
Education:
Law degree (including corporate tax courses) with 2+/5+ years related experience, OR Masters/Tax or Accounting degree with 4+/7+ year’s tax or finance related experience.
U.S. federal tax knowledge a must.
Second language or international experience a plus.
Securities background a plus.
Excellent comprehension, verbal and written communication skills with ability to produce publishable work product.
Must be focused and extremely detail oriented; must be able to work in a team atmosphere and accept editorial process and revisions.
Must be able to read critically, raise issues and question/research further when source document is not sufficient.
